   Our Firm was retained recently by National Small Business Association, the Nation's Leading advocate for Small and Emerging Grown Businesses, to file an amicus curiae brief in support of the U.S. Securities and Exchange Commission in two actions filed by States to challenge the SEC's new Regulation A Amendments that preempt Tier 2 Offerings from the burden of state Blue Sky registration.  These actions were filed with the United States Circuit Court of Appeals for the District of Columbia Circuit in Monica J. Lindeen, Montana State Auditor ex officio Montana Commissioner of Securities and Insurance v. U. S. Securities and Exchange Commission, D.C. Cir. No. 15-1149 (filed May 22, 2015), consolidated with William F. Galvin, Secretary of the Commonwealth of Massachusetts v. U. S. Securities and Exchange Commission, D.C. Cir. No. 15-1150 (filed May 22, 2015). 


    Our Unopposed Motion for Leave to Participate Amicus Curiae was granted by the Court, and we believe the Courts will uphold the Commission's rulemaking authority so that smaller businesses may attract more money and at lower costs than under Regulation D and other offering exemptions.
